1. About Birdie Backers

Birdie Backers, Inc. ("Birdie Backers," "we," "us," or "our") operates a fan membership platform that connects supporters ("Supporters") with aspiring professional golfers ("Golfers"). Supporters pay recurring monthly membership fees to access exclusive content, community features, and other benefits made available by Golfers on the platform.

Birdie Backers is not a broker-dealer, investment adviser, crowdfunding portal, or financial institution. We do not offer securities, fractional ownership, or investment contracts of any kind. Nothing on this platform constitutes financial, legal, or tax advice.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts in your jurisdiction to use Birdie Backers. By creating an account, you represent that you meet these requirements. We reserve the right to terminate accounts that violate this requirement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@birdiebackers.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

Each person may maintain one Supporter account and, if eligible, one Golfer profile. Creating multiple accounts to circumvent platform rules is prohibited.

4. Membership Fees and Billing

Memberships are billed on a recurring monthly basis beginning on the date of your subscription. All fees are stated in US dollars. By subscribing, you authorize Birdie Backers (via our payment processor, Stripe) to charge your payment method monthly until you cancel.

Cancellations take effect at the end of the current billing period. We do not issue pro-rated refunds for partial months. If a payment fails, we may suspend or terminate your membership. All fees are non-refundable except as required by applicable law.

5. Supporter Reward Pools — Not an Investment

Certain Golfer profiles may voluntarily designate a percentage of future tournament prize money as a "Supporter Reward Pool." If a Golfer does so, Premium Backer Club members who are active during the pool period may be eligible for discretionary distributions from that pool.

YOU ACKNOWLEDGE AND AGREE THAT:

(a) Supporter reward pools are discretionary community benefits, not guaranteed financial returns, not securities, and not investment products of any kind.

(b) No distribution is guaranteed. If a Golfer does not earn prize money during the pool period, there is nothing to distribute.

(c) Golfers control their own pool terms, percentages, and duration. Birdie Backers does not guarantee that any Golfer will honor pool commitments, though we reserve the right to remove profiles that fail to do so in good faith.

(d) Membership fees are paid in exchange for platform access and community benefits — not in expectation of financial returns.

(e) Birdie Backers makes no representation that any supporter will receive any distribution from any pool.

By subscribing at the Premium Backer Club tier, you confirm that you understand the above and are subscribing for the community and content benefits, not as a financial investment.

6. Content and Community Standards

Golfers and Supporters may post content on the platform including updates, comments, and messages. You retain ownership of content you post, but grant Birdie Backers a non-exclusive, royalty-free license to display and distribute that content within the platform.

You agree not to post content that is unlawful, defamatory, harassing, obscene, or that infringes on intellectual property rights. We reserve the right to remove content and terminate accounts that violate these standards without refund.

7. Golfer Responsibilities

Golfers agree to maintain accurate profile information, post updates regularly, and honor any commitments made to Supporters in good faith. Golfers who establish Supporter Reward Pools are responsible for reporting winnings accurately and initiating distributions in a timely manner as agreed.

Birdie Backers takes a platform fee from monthly membership revenue as described in your Golfer agreement. We do not take a percentage of tournament winnings or reward pool distributions.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIRDIE BACKERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING ANY LOSS RELATED TO GOLFER PERFORMANCE OR FAILURE TO DISTRIBUTE REWARD POOL AMOUNTS.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO BIRDIE BACKERS IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE MAKE NO WARRANTY REGARDING THE PERFORMANCE, EARNINGS, OR CONDUCT OF ANY GOLFER ON THE PLATFORM.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top and, for material changes, notify you by email. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
