1. About Birdie Backers

Birdie Backers, Inc. ("Birdie Backers," "we," "us," or "our") operates a fan membership platform that connects supporters ("Supporters") with aspiring professional golfers ("Golfers"). Supporters pay recurring monthly membership fees to access exclusive content, community features, and other benefits made available by Golfers on the platform.

Birdie Backers is not a broker-dealer, investment adviser, crowdfunding portal, or financial institution. We do not offer securities, fractional ownership, or investment contracts of any kind. Nothing on this platform constitutes financial, legal, or tax advice.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts in your jurisdiction to use Birdie Backers. By creating an account, you represent that you meet these requirements. We reserve the right to terminate accounts that violate this requirement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@birdiebackers.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

Each person may maintain one Supporter account and, if eligible, one Golfer profile. Creating multiple accounts to circumvent platform rules is prohibited.

4. Membership Fees and Billing

Memberships are billed on a recurring monthly basis beginning on the date of your subscription, at one of three fixed tiers: Birdie ($10/mo), Eagle ($25/mo), or Captain ($50/mo). All fees are stated in US dollars. By subscribing, you authorize Birdie Backers (via our payment processor, Stripe) to charge your payment method monthly until you cancel.

Cancellations take effect at the end of the current billing period. See our Refund Policy for what happens if a Golfer does not deliver the content their tier commits to.

5. Not an Investment — a Content and Access Marketplace

Birdie Backers is not a tip jar, a donation platform, or crowdfunding. It is a marketplace: Supporters pay a fixed monthly subscription in exchange for content and access that the Golfer commits to deliver, described in full on our Golfer Terms and Refund Policy pages.

YOU ACKNOWLEDGE AND AGREE THAT:

(a) Membership fees are paid in exchange for the fixed content deliverables of the tier you choose — not in expectation of financial returns, prize money, or any share of a Golfer's winnings.

(b) Nothing about a subscription is tied to a Golfer's competitive results. A Golfer's payout depends only on delivering the content their tier requires, verified monthly.

(c) Birdie Backers makes no representation about any Golfer's future competitive success, and a subscription is not a prediction, wager, or guarantee of any kind.

By subscribing, you confirm that you understand the above and are subscribing for the content and access benefits described in your chosen tier.

6. Content and Community Standards

Golfers and Supporters may post content on the platform including updates, comments, and messages. You retain ownership of content you post, but grant Birdie Backers a non-exclusive, royalty-free license to display and distribute that content within the platform.

You agree not to post content that is unlawful, defamatory, harassing, obscene, or that infringes on intellectual property rights. We reserve the right to remove content and terminate accounts that violate these standards without refund.

7. Golfer Responsibilities

Golfers agree to maintain accurate profile information and deliver the fixed content commitments of every tier they offer, as described in our Golfer Terms. Missed deliverables are handled under our Refund Policy's hold-and-cure process.

Birdie Backers takes a platform fee of 8.99% from monthly subscription revenue; Stripe's payment processing fee (2.9% + 30¢ per charge) is deducted separately. The remainder is paid directly to the Golfer on a monthly schedule. We do not take a percentage of tournament winnings.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIRDIE BACKERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING ANY LOSS RELATED TO GOLFER PERFORMANCE OR UNDELIVERED CONTENT (SEE OUR REFUND POLICY FOR REMEDIES).

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO BIRDIE BACKERS IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE MAKE NO WARRANTY REGARDING THE PERFORMANCE, EARNINGS, OR CONDUCT OF ANY GOLFER ON THE PLATFORM.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top and, for material changes, notify you by email. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
